  • All information you submit during registration is accurate, current, and complete.

1.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, login information, and password. You accept full responsibility for all activities, orders, and inquiries that occur under your account. You must notify WestTech immediately at support@westtechdist.com of any unauthorized access or security breach.

2. Product Orders, Pricing & Availability

2.1 Order Acceptance

All orders placed through our e-commerce platform or sales representatives constitute an offer to purchase products under these Terms. Orders are subject to acceptance and confirmation by WestTech Distribution LLC. We reserve the right to accept, decline, or limit any order for any reason, including inventory shortages, credit limitations, or suspected fraud.

2.2 Pricing & Currency

  • All prices displayed on our platform are listed in United States Dollars ($ USD) unless explicitly stated otherwise.

  • Applicable sales taxes, municipal tariffs, shipping charges, and handling surcharges will be calculated and added during checkout.

  • Prices and product specifications are subject to change without prior notice.

2.3 Pricing Errors

While we strive for complete accuracy, errors in pricing or product specifications may occasionally occur. If an item is listed at an incorrect price due to a typographical or system error, WestTech reserves the right to cancel any accepted orders for that item prior to shipment. If your credit card has already been charged, we will issue a prompt and full refund.

3. Payments, Taxes & Credit Terms

3.1 Payment Methods

We accept major credit/debit cards (Visa, MasterCard, American Express, Discover), ACH transfer, electronic wire payments, and corporate line of credit accounts (subject to prior credit approval).

3.2 Tax Exemption

Commercial buyers seeking tax-exempt status must provide a valid resale certificate, state tax exemption certificate, or government authorization prior to completing an order. Taxes charged on orders finalized prior to tax-exemption verification cannot be retroactively adjusted.

3.3 Corporate Credit Accounts & Payment Default

For customers with approved B2B line-of-credit terms (e.g., Net 30):

  • Invoices must be settled in full within the designated payment window.

  • Overdue balances are subject to a late fee of 1.5% per month (or the maximum allowed by law).

  • Failure to pay overdue balances may result in immediate suspension of fulfillment services, credit cancellation, and referral to third-party collection agencies.

4. Shipping, Risk of Loss & Title Transfer

  • FOB Origin / Shipment Terms: Unless agreed upon otherwise in writing, all commercial orders are shipped FOB Origin from our fulfillment center.

  • Transfer of Risk & Title: Title to the products and risk of loss or damage pass to the buyer upon delivery of the goods to the shipping carrier (UPS, FedEx, DHL, or LTL Freight truck).

  • Delivery Windows: Delivery dates provided by WestTech or freight carriers are estimates only and are not guaranteed. WestTech is not liable for indirect losses or damages resulting from carrier delay or carrier failure.

5. Intellectual Property Rights

5.1 Ownership

All website content—including logos, software code, graphic designs, product photography, trademarks, text, database structures, and trade dress—is the exclusive property of WestTech Distribution LLC or its third-party brand licensors, protected under U.S. and international copyright and trademark laws.

5.2 Limited License

You are granted a limited, revocable, non-exclusive, non-transferable license to access our platform solely for personal or legitimate business purchasing purposes. 6. Returns, Refunds & Warranties

6.1 Return Policy

Product returns, refunds, and exchanges are strictly governed by our Shipping & Return Policy. Unapproved returns sent without a valid Return Merchandise Authorization (RMA) number will be refused.

6.2 Manufacturer Warranties & Disclaimer

  • Third-Party Warranties: Products sold by WestTech Distribution LLC may carry manufacturer warranties. WestTech passes through all available manufacturer warranties to the original purchaser to the extent permitted by law.

WESTTECH DISTRIBUTION LLC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

INDIRECT DAMAGES: IN NO EVENT SHALL WESTTECH DISTRIBUTION LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR PRODUCTS OR WEBSITE.

  2. LIABILITY CAP: THE TOTAL CUMULATIVE LIABILITY OF WESTTECH DISTRIBUTION LLC FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO WESTTECH IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless WestTech Distribution LLC, its parent company, subsidiaries, affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or legal fees arising out of:

  • Your misuse of our website or products.

  • Your violation of these Terms or applicable local, state, or federal laws.

  • Any breach of representations or warranties made by you regarding your account or business entity.

9. Governing Law & Dispute Resolution

9.1 Governing Law

These Terms and any dispute or transaction arising out of them shall be governed by and construed in accordance with the laws of the State of Delaware (or applicable governing state of incorporation), without giving effect to any principles of conflicts of law.

9.2 Dispute Resolution & Binding Arbitration

Any controversy, dispute, or claim arising out of or relating to these Terms or your purchases shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You agree that disputes must be resolved on an individual basis and waive any right to participate in a class-action lawsuit or class-wide arbitration.

  • Termination of Access: WestTech reserves the right, at its sole discretion and without prior notice, to suspend or terminate your account or restrict your access to our website if we suspect fraud, violation of these Terms, or non-payment.
